Terms & Conditions

Welcome to SourceVogue. By accessing our website, engaging our sourcing management services, or submitting project inquiries, you agree to comply with and be bound by the following Terms & Conditions. Please read them carefully before initiating any service requests or manufacturing projects with us.

1. Scope of Services

SourceVogue operates as a strategic sourcing partner and supply chain consultant. Our services include, but are not limited to:

  • Identifying, auditing, and connecting clients with verified manufacturers.

  • Commercial rate negotiation and pricing optimization.

  • Pre-production sample oversight, material verification, and live production monitoring.

  • Coordinating third-party quality control inspections and global freight/logistics.

SourceVogue is not a direct product manufacturer, seller, or retailer. We facilitate, manage, and oversee the relationship and production lifecycle between you (“the Client”) and independent third-party manufacturing facilities (“the Manufacturer”).

2. Client Obligations & Tech Pack Accuracy

  • Specification Accuracy: The Client is solely responsible for providing complete, accurate, and final technical packages (tech packs), CAD designs, material specifications, and color references (e.g., Pantone codes).

  • Sample Approvals: Production lines will not be scheduled until the Client provides written approval of pre-production samples. Any changes requested after sample approval may result in additional tooling costs, material fees, and production timeline extensions.

3. Payments, Bank Account Verification & Disclaimers

  • Direct Transactions: All production, sampling, and manufacturing fees are remitted directly to the audited Manufacturer’s verified business bank account, in accordance with our [Payment Policy].

  • Mandatory Account Verification: The Client agrees to independently verify the Manufacturer’s beneficiary bank account details via dual-channel verification prior to initiating any bank wire or transfer.

  • Limitation of Financial Liability: SourceVogue accepts no liability for funds transferred by the Client to incorrect, unverified, altered, or fraudulent third-party bank accounts.

4. Intellectual Property (IP) Protection

  • Client IP Ownership: All original designs, silhouettes, tech packs, logos, custom molds, lasts, patterns, and proprietary graphics submitted by the Client remain the exclusive intellectual property of the Client.

  • Non-Disclosure & Non-Circumvention: SourceVogue enforces bilateral Non-Disclosure Agreements (NDAs) and Non-Disclosure, Non-Use, Non-Circumvention (NNN) agreements with all manufacturing partners to ensure your original concepts and custom tooling are protected against unauthorized copying, secondary market sales, or unauthorized overruns.

5. Production Timelines & Force Majeure

  • Estimated Lead Times: Production schedules and shipping estimates provided by SourceVogue or its manufacturing partners are targets offered in good faith. While we actively manage bottlenecks to ensure fast delivery, timelines may be affected by raw material sourcing delays, customs holds, or factory queue adjustments.

  • Force Majeure: SourceVogue shall not be held liable for failure or delay in fulfilling obligations caused by circumstances beyond reasonable control, including natural disasters, acts of government, global trade tariffs, customs delays, port congestion, or major logistics disruptions.

6. Quality Control & Defect Resolution

  • Quality Standards: Quality evaluations are conducted based strictly on the approved pre-production sample and agreed technical specifications.

  • Pre-Shipment Inspections: Final quality control checks occur prior to balance payments and shipment dispatch. The Client must review and approve final inspection reports before goods leave the factory floor.

  • Issue Reporting: Any defect claims regarding shipped goods must be submitted in writing within 14 business days of receipt at the destination facility, accompanied by photo/video documentation. SourceVogue will act on the Client’s behalf to liaise with the Manufacturer to secure remedies, replacements, or financial adjustments.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SourceVogue’s total cumulative liability for any claims arising from or related to our services shall not exceed the total administrative or consulting fees paid by the Client directly to SourceVogue for the specific project in question. In no event shall SourceVogue be liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

8. Amendments to Terms

SourceVogue reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted directly to this page with an updated “Last Updated” date. Continued use of our website or services constitutes acceptance of the revised terms.
